CONSTITUTION OF THE
WAYNE AMATEUR RADIO
CLUB
(WARC)
PREAMBLE
We the undersigned, wishing to secure for ourselves
the pleasure and benefits of association of persons commonly interested in
Amateur Radio, constitute ourselves the Wayne Amateur Radio Club (known as the Club) and enact this constitution as our
governing law. It
shall be our purpose to further
exchange of information and cooperation between members, to promote radio
knowledge and good operator practice, fraternalism
and individual operation efficiency, and to so conduct Club programs and
activities as to advance the general interest and welfare of Amateur Radio in
the community.
To render a public service to governmental agencies
during impending storms or other severe weather as well as to assist in
disaster relief operations and other community functions as required.
ARTICLE I
MEMBERSHIP
All persons interested in Amateur Radio communication
shall be eligible for membership.
Membership shall be by application and election upon such terms as the
Club shall by its By-Laws provide.
ARTICLE II
OFFICERS
Section-1
The officers of this Club shall be President, Vice
President, Secretary and Treasurer. The Club shall have an Executive Committee,
which will consist of the Club Officers, the immediate Past President and
Trustee.
Section-2
The officers of this Club must be a licensed amateur
in good standing and shall be elected for a term of one year by ballot of the
members present, provided there be a quorum, at the meeting in December.
Section-3
Any officer may succeed himself in office, if elected
by the membership.
Section-4
Vacancies occurring between elections must be filled
by special elections at the first regular meeting following the withdrawal or
resignation.
Section-5
Officers may be removed by two-thirds vote of the
members present.
Section-6
Officers may only be elected to a single position
except for the Secretary and Treasurer, which may be a combined office.
ARTICLE III
DUTIES
OF THE OFFICERS
Section-1
The president shall preside at all meetings of this
Club, and conduct the same according to the rules adopted. Enforce due
observance of this Constitution and By-Laws; decide all questions of order;
sign all official documents that are adopted by the Club, and none other, and
perform all other customary duties pertaining to the office of president.
Section-2
The vice-president shall assume all the duties of the
president in the absence of the latter. In addition he/she shall coordinate
club activities with the operating activities chairman and maintain close
liaison with the Club Emergency Coordinator.
Section-3
The Secretary shall keep a record of the proceedings
of all meetings, keep a roll of members, submit applications for membership,
carry on all correspondence, read communications at each meeting, and mail
written meeting notices to each member when required. He/she shall, at the
expiration of his term, turn over all items belonging to the Club to his
successor.
Section-4
The Treasurer shall receive and receipt for all moneys
paid to the club, keep an accurate account of all moneys received and expended;
pay no bills without proper authorization (by the Club or its officers
constituting a business committee). At the end of each year he/she shall submit
an itemized statement of disbursements and receipts. At the end of his/her term
he/she shall turn over everything in his/her possession belonging to the club
to his/her successor.
ARTICLE IV
MEETINGS
The By-Laws shall provide for regular and special
meetings. At meetings, a minimum of five voting (5) members and two (2)
officers shall constitute a quorum for the transaction of business.
ARTICLE V
DUES
The Club, by two-thirds vote of those present at the
annual business meeting, may levy upon the general membership such dues as shall
be deemed necessary for the business of the organization within its objects as
set forth in the preamble. Non-payment of such dues shall be cause for
expulsion from the Club within the discretion of the
membership.
ARTICLE VI
MEMBERSHIP
ASSISTANCE
Section-1
The Club, through disunited committee, will provide
technical advice to members concerning equipment design and operation, to
assist in frequency observance, clean signals, uniform practice, and absence of
spurious emissions from Club member-stations.
Section-2
The Club shall maintain a program to foster and guide
public relations.
ARTICLE VII
AMENDMENTS
Section-1
This Constitution may be amended by a two-thirds vote
of those members present at the annual business meeting during January.
Proposals for amendments shall be submitted in writing at a regular meeting and
shall be voted on at the annual business meeting, provided all members have
been notified by mail and/or e-mail approximately fourteen (14) days prior of
the intent to amend the Constitution at said meeting.
Section-2
The By-Laws may be amended, by submitting in writing
any proposal to the executive committee, prior to any regular business meeting
and passed by two-thirds vote at the next business meeting with a quorum.
Section-3
A proxy vote may be used for members unable to attend
the annual business meeting. The proxy vote shall be
submitted to one of the club officers by either mail or e-mail. The
Secretary must receive this proxy vote prior to the scheduled meeting.
ARTICLE VIII
RULES
Robert's Rules of Order shall govern proceedings where
not in conflict with the Constitution and or By-Laws.
ARTICLE IX
CLUB
PROPERTY
Section-1
The Club shall have the privilege of owning property
both real and personal and the right to buy and sell said property in the Club
name.
Section-2
Any purchase or acceptance of Club property must have
the approval of the executive committee, which must notify the membership of
the transaction at the next scheduled meeting.
Section-3
Before any transaction involving the sale of club
property with a market value over $50, it shall be voted on at the next
meeting.
Section-4
The Trustee shall have the privilege of assigning or
loaning Club-owned property subject to the approval of the Executive Committee.
Any person in possession of Club owned property shall be responsible for that
property and its use.
Section-5
The Club shall not be liable for the effects of any
personal use of Club-owned property.
Section-6
The Club shall have the expressed right to establish
and maintain a Club station and to establish operating procedures within the
privileges granted by the FCC.
